What are the two key reasons the majority of partnerships fail?

Francine Allaire and I will be leading a roundtable discussion on 7/29, 11:00AM PDT on partnerships. One of the areas we want to explore is why partnerships fail. Based on your experiences, what are the top two reasons? We'll use your responses in the discussion.

I've assumed you're talking about a partnership between companies rather than people.

Reason #1 in my experience is neither partner dedicates sufficient resources to deliver a real integration of products or services.

Reason #2 is a conflict of interests, for example if the smaller partner decides to expand its business into the larger partner's territory.

I feel 1) the Lack of Trust on each other (internally) and
2) greed to grab the higher share of profit than official agreement without the knowledge of other partner.

A worthwhile question and one that we look forward to addressing during our upcoming roundtable "Partnering for Growth, Innovation and Profits". In my experience working with different partnership types, the most predominant being Strategic alliances and channels, I could pretty much fit all the reasons, as to why partnerships fail, into 2 categories - People and Money.
